Terms and Conditions of Service: True Seal

1. Definitions

  • “True Seal” refers to the business entity operating at trueseal.com.au.

  • “Client” refers to the individual, company, or entity engaging True Seal for services.

  • “Services” includes but is not limited to passive fire protection installation, fire stopping, fire-rated access points, intumescent coatings, and certification.

2. Quotations and Engagement

  • All quotes are valid for 30 days from the date of issue unless otherwise stated.

  • A contract is formed only when the Client provides written acceptance of a quote or issues a Purchase Order.

  • True Seal reserves the right to adjust the quote if the scope of work changes upon physical inspection of the site

3. Client Obligations

The Client must:

  • Ensure the site is safe and accessible for True Seal technicians at the agreed-upon time.

  • Provide accurate building plans or specifications where required.

  • Notify True Seal of any hazardous materials (e.g., asbestos) present in the work area before commencement.

4. Payment Terms

  • Invoices are strictly payable within [e.g., 7 or 14] days of the invoice date.

  • True Seal reserves the right to halt work or withhold certification if payments are overdue.

  • Interest may be charged on overdue accounts.

5. Liability and Indemnity

  • Passive Fire Integrity: True Seal is only responsible for the specific penetrations or systems treated by our team. We are not liable for the overall fire safety of a building where other non-compliant elements exist outside our scope.

  • Indirect Loss: To the extent permitted by law, True Seal is not liable for any consequential loss, loss of profit, or damage resulting from delays beyond our control.

  • Insurance: True Seal maintains appropriate Public Liability and Professional Indemnity insurance.

6. Variations

  • Any request for extra work outside the original quote must be documented as a “Variation.”

  • Variations will be charged at our standard hourly rates plus materials unless a fixed price is agreed upon in writing.

7. Intellectual Property

  • All reports, registers, and technical drawings provided by True Seal remain our intellectual property until the final invoice is paid in full.

8. Dispute Resolution

  • In the event of a dispute, both parties agree to attempt a good-faith negotiation before initiating legal proceedings.

9. Governing Law

  • These terms are governed by the laws of the state in which the services are performed (e.g., Victoria/Queensland/Western Australia).
